Subject: Basic Sales Terms and Conditions


1. Foundations that already exist will be reused as much as possible. Cabling will also be reused wherever feasible.


2. Parklot Solutions must have uninterrupted access to the site. We will endeavor to clear obstacles, such as setting up barriers and gates where possible, but work may proceed while various systems remain in use. Any disruptions will be communicated with the client in advance. Wait times due to circumstances beyond PARKLOT Solutions' control may be billable. Existing peripheral factors can be transferred upon request.


3. The warranty period is 12 months for both moving and non-moving parts, excluding travel and labor costs. The warranty period begins on the date of delivery or the date of first use, whichever comes first. Components covered by the warranty include rollers, belts, rubber cords, detection loops, floor guides, gears, springs, markings, chains, printers, and miscellaneous items.


4. The customer is responsible for ensuring adequate protection of servers, air conditioning units, cooling systems, and other electrical equipment connected via the distribution panel within the patch room. Parklot Solutions bears no responsibility for any unintended power shutdowns on the customer's premises. Switches in the distribution panel must be turned off and on in accordance with NEN-1010 standards. The customer is responsible for switching off the systems connected to these switches before and after use. Parklot Solutions is not liable for:


   4.1 - Repairing servers, software, hardware, or other electronic equipment connected to the power circuit of the relevant object.

   4.2 - Any power surges, power outages, equipment damage, or consequential damages occurring after the normal activation of switches and electronic equipment, as these are subject to usage, lifespan, and maintenance, for which Parklot Solutions assumes no responsibility.


5. PARKLOT Solutions accepts no responsibility for damages resulting from:

   5.1 - Incompetent actions, incorrect operation, or other external influences beyond our control.

   5.2 - Warranty can only be provided if maintenance and/or repairs are carried out by us or by a designated expert company. We recommend purchasing a maintenance and/or service contract. According to labor regulations, technical systems must undergo annual maintenance, the responsibility of the terrain/product owner.

   5.3 - The use of mechanically/electrically unattended machines is always at the user/owner's risk.


   Vandalism and acts of terrorism are always excluded from warranty coverage. Travel costs and hours are always excluded from warranty services. Scratches and imperfections not visible from a distance of 5 meters are not considered damages and can be rectified upon request.


6. Prices in this quotation are exclusive of VAT. Prices are currently subject to significant fluctuations due to various factors, as is known to everyone. This quotation is valid for 14 days, but if prices increase significantly, we reserve the right to claim force majeure and will discuss this matter with you.


   Invoices carry a 30-day payment term after delivery. Generally, we enforce a 14-day payment term for invoices exceeding €7,500. Depending on the type of product, especially for custom products or invoices from manufacturers that require a 50% deposit upon order, we may invoice 50% upon order with a 14-day payment term, subject to discussion. For invoices exceeding €20,000, we always request an advance payment, but this is negotiable. Delivery time will be discussed upon order.


7. Any other terms and conditions from any other party are not applicable to this sales agreement regarding PARKLOT Solutions' materials and services. By accepting our quotation, you also accept our terms and conditions.


8. Price Increases: Contracts may be subject to annual increases in line with inflation. If this exceeds 5%, it will be discussed with the customer, who may choose to terminate the contract.


9. By signing a quotation or paying an invoice from PARKLOT Solutions, you also agree to PARKLOT Solutions' sales terms and conditions. All other terms provided by you or other companies are not accepted as conditions of the agreement, except for terms derived from Dutch law and its authorities.


   You can expect PARKLOT Solutions to work safely, responsibly, and neatly. Service is integral to our company's DNA, and we will strive to satisfy you as a customer within our capabilities. PARKLOT Solutions prioritizes the safety of automated products. Therefore, we do not accept certain requests that deviate from operational principles or safety standards. We aim for sustainable and circular practices with minimal waste and maximum reuse of materials where possible. Materials we remove are disposed of responsibly worldwide and will become property of PARKLOT Solutions unless otherwise agreed upon. Our quotations take into account the disposal of old materials.


10. Collaboration with Jantz Elektrotechniek:

   We collaborate with Jantz Elektrotechniek. It may happen that site visits are conducted by Jantz Elektrotechniek. All communication will always be through PARKLOT Solutions unless otherwise indicated.
